These Terms of Service ("Terms") govern your use of the website vantawealthh.com ("Site") and any consulting or advisory services ("Services") provided by Vanta Wealth ("Vanta Wealth," "we," "us," or "our"). By accessing the Site or engaging us, you agree to these Terms.
1. Services
Vanta Wealth provides consulting and advisory services as described on the Site and in any written engagement letter or statement of work agreed upon between you and us. Services are delivered remotely and/or in person as agreed.
2. Engagement & Fees
The specific scope, deliverables, timeline, and fees for any engagement will be set forth in a written engagement letter or invoice. Unless otherwise stated:
- Fees are quoted in U.S. dollars and are due as specified in the engagement letter or invoice.
- Payments may be made by card, ACH, or other methods we offer.
- Late payments may incur reasonable interest and collection costs.
3. Client Responsibilities
To get the most from an engagement, you agree to provide accurate, complete information and timely access to materials, personnel, and decision-makers reasonably needed to perform the Services. Delays or inaccuracies on your side may affect timelines and outcomes.
4. Confidentiality
Each party agrees to protect the other's non-public information and to use it only for the purpose of the engagement. Confidentiality obligations survive termination of the engagement.
5. Intellectual Property
Materials, frameworks, templates, and methodologies that pre-exist or are independently developed by us remain our property. Final deliverables prepared specifically for you, once paid for in full, may be used by you for your own internal business purposes. Nothing in these Terms transfers ownership of our underlying intellectual property.
6. No Guarantee of Outcomes
Our work is advisory in nature. While we bring care and professional judgment to every engagement, we cannot and do not guarantee specific business or operational outcomes. You retain full responsibility for decisions you make based on our work.
7. Not Legal, Tax, or Investment Advice
Unless we have separately and explicitly agreed in writing to provide such services within a scope we are licensed to render, our consulting work does not constitute legal, tax, or investment advice. You should consult appropriately licensed professionals before acting on any recommendation that has legal, tax, or investment implications.
8. Limitation of Liability
To the maximum extent permitted by law, Vanta Wealth's aggregate liability arising out of or relating to the Services or these Terms shall not exceed the fees paid to us by you for the specific engagement giving rise to the claim during the twelve (12) months preceding the claim. In no event shall we be liable for indirect, incidental, consequential, special, or punitive damages.
9. Indemnification
You agree to defend, indemnify, and hold harmless Vanta Wealth and its principals, employees, and contractors from third-party claims arising out of your use of our deliverables in a manner inconsistent with these Terms or applicable law.
10. Termination
Either party may terminate an engagement upon written notice as set forth in the engagement letter. Fees earned through the date of termination remain payable. Our Refund & Cancellation Policy describes how cancellations and refunds are handled.
11. Use of the Site
You agree not to misuse the Site, attempt to gain unauthorized access, reverse engineer it, or use it to violate any law. We may modify or discontinue the Site at any time without notice.
12. Governing Law
These Terms are governed by the laws of the Commonwealth of Virginia, without regard to its conflict-of-laws principles. The exclusive venue for any dispute shall be the state or federal courts located in Loudoun County, Virginia, and the parties consent to personal jurisdiction there.
13. Changes to These Terms
We may update these Terms from time to time. The "Last updated" date above reflects the most recent version. Continued use of the Site or our Services after changes are posted constitutes acceptance of the revised Terms.
